Welcome to Idyntic, a digital identity verification platform operated by Apexly Technologies Limited (RC 9589989) ("Apexly", "Idyntic", "we", "our", or "us").
These Terms and Conditions ("Terms") govern your access to and use of the Idyntic website, applications, products and services (collectively, the "Services").
By creating an account, accessing, or using Idyntic, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you must not access or use the Services.
1. About Idyntic
Idyntic is a digital identity verification platform that enables users to perform identity verification requests through authorized third party identity verification providers.
Our services include, but are not limited to:
- Identity verification searches
- Generation of supported NIN document formats
- Digital wallet services
- Transaction history
- Account management
Idyntic does not issue National Identification Numbers.
Idyntic is not affiliated with, endorsed by, sponsored by, or operated by the National Identity Management Commission (NIMC).
2. Acceptance of these Terms
By using Idyntic, you confirm that:
- you have the legal capacity to enter into this agreement;
- you will comply with all applicable laws and regulations;
- the information you provide is accurate and complete; and
- you will use the Services only for lawful purposes.
Your continued use of the Services constitutes acceptance of any future amendments to these Terms.
3. Eligibility
Idyntic is designed primarily for:
- Cybercafés
- Business centres
- Digital service providers
- Businesses
- Organizations
- Professionals requiring identity verification services
Individual users may also use the Services where permitted by applicable law.
If you are under the age of 18, you should only use the Services under the supervision of a parent, guardian, or other legally responsible adult.
4. Account Registration
To access certain features of the Services, you must create an account.
You agree to:
- provide accurate information;
- keep your information up to date;
- maintain the confidentiality of your login credentials;
- immediately notify us of any unauthorized access to your account.
You are responsible for all activities carried out through your account unless such activities result from our negligence or security failure.
We reserve the right to suspend or terminate accounts containing false, misleading, or fraudulent information.
5. Account Security
You are solely responsible for safeguarding your password and account credentials.
You must not:
- share your account;
- permit another person to use your account;
- sell or transfer your account;
- attempt to gain unauthorized access to another user's account.
Any activity performed using your account may be treated as having been performed by you unless proven otherwise.
6. Wallet Services
Idyntic operates a prepaid wallet system.
Each registered user may receive a dedicated virtual account for funding their wallet.
Wallet balances may be used exclusively for services available on Idyntic.
Wallet balances:
- are non interest bearing;
- cannot be treated as bank deposits;
- do not constitute a savings account;
- may only be used in accordance with these Terms.
Wallet balances remain subject to applicable laws and regulatory requirements.
7. Wallet Funding
Wallet funding is processed through licensed third party payment providers.
At the time these Terms take effect, wallet funding is facilitated through BudPay.
Successful transfer of funds to your assigned virtual account does not automatically guarantee immediate wallet credit.
Wallet balances are updated after successful payment confirmation from the payment provider.
Temporary delays may occur due to:
- banking network issues;
- payment provider downtime;
- maintenance;
- fraud checks;
- regulatory requirements.
We are not responsible for delays caused by financial institutions or payment providers beyond our reasonable control.
8. Service Fees
Certain Services require payment before they can be used.
Applicable fees are displayed on the platform before a transaction is completed.
By proceeding with a transaction, you authorize Idyntic to deduct the applicable fee from your wallet balance.
Service pricing may be revised periodically.
Where reasonably practicable, pricing changes will be communicated through the platform before taking effect.
9. Identity Verification Services
Idyntic facilitates identity verification requests through authorized third party identity verification providers.
Users may perform searches using supported identifiers, including:
- National Identification Number (NIN);
- phone number linked to a NIN; or
- demographic information where supported.
Following successful verification, users may generate available document formats supported by the platform.
Verification results are generated using information supplied by third party providers.
Accordingly, Idyntic does not warrant that verification results will always be available, complete, current, or error free.
Service availability depends on:
- third party provider availability;
- upstream government systems;
- network connectivity;
- maintenance activities;
- technical limitations outside our reasonable control.
Successful payment for a verification request does not guarantee that requested information will be available.
Where a verification cannot be completed due to unavailable records or upstream service limitations, the outcome will depend on the applicable service rules displayed on the platform.
Users acknowledge that identity verification services involve third party systems over which Idyntic has limited operational control.
10. Refund Policy
Idyntic is committed to providing reliable and transparent services. Due to the nature of digital identity verification services, refund requests are assessed on a case by case basis.
A refund may be considered where:
- your wallet is debited but no verification request was submitted due to a confirmed system error;
- duplicate charges occur as a result of a technical fault;
- a payment is successfully received but your wallet is not credited within a reasonable period after confirmation.
Refunds will generally not be provided where:
- a verification request was successfully processed using the information provided by the user;
- incorrect search information was entered by the user;
- the requested record does not exist or cannot be located by the identity verification provider;
- service interruption results from third party systems beyond Idyntic's reasonable control.
Where a refund is approved, it may be credited to your Idyntic wallet or processed using another appropriate method determined by Idyntic.
Refund requests should be submitted to our support team with sufficient information to investigate the transaction.
11. User Responsibilities
By using Idyntic, you agree to use the Services responsibly, lawfully, and in accordance with these Terms.
You agree that you will:
- provide accurate information when creating your account;
- maintain the confidentiality of your login credentials;
- ensure that your wallet is funded before initiating paid services;
- comply with all applicable laws and regulations;
- use identity information only for lawful and authorized purposes;
- immediately notify us if you suspect unauthorized access to your account.
You remain solely responsible for all activities carried out using your account.
12. Acceptable Use
Idyntic may only be used for legitimate identity verification purposes.
You agree to use the Services only where you have the legal authority or lawful basis to request or access identity information.
You are responsible for ensuring that your use of identity information complies with all applicable laws, contractual obligations, and regulatory requirements.
Nothing within the Services should be interpreted as granting authority to access another person's personal information without lawful authorization.
13. Prohibited Activities
You must not use Idyntic to:
- conduct unauthorized identity searches;
- impersonate another individual or organization;
- provide false or misleading information;
- attempt to gain unauthorized access to the platform or its infrastructure;
- interfere with the operation or security of the Services;
- upload malware, viruses, or malicious code;
- scrape, harvest, or systematically extract data from the platform;
- reverse engineer, decompile, or attempt to discover the source code of the Services, except where permitted by applicable law;
- use automated scripts, bots, or software to access the Services without our prior written authorization;
- resell or redistribute verification results in violation of applicable laws;
- engage in fraudulent, deceptive, abusive, or unlawful activities.
Any attempt to circumvent platform security or misuse identity verification services may result in immediate suspension or termination of your account.
Where required by law, Idyntic reserves the right to report suspected unlawful activities to the appropriate regulatory or law enforcement authorities.
14. Intellectual Property
Unless otherwise stated, all intellectual property rights in the Services are owned by or licensed to Apexly Technologies Limited.
This includes, but is not limited to:
- the Idyntic name;
- logos and branding;
- website design;
- software;
- source code;
- user interface;
- graphics;
- documentation;
- text;
- databases; and
- other proprietary materials.
These materials are protected by applicable intellectual property laws.
Subject to these Terms, Idyntic grants you a limited, non exclusive, non transferable, and revocable licence to access and use the Services for their intended purpose.
You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Services without our prior written permission.
15. Third Party Services
Idyntic integrates with independent third party providers to deliver certain features of the Services.
These providers may include:
- payment processors;
- identity verification providers;
- cloud infrastructure providers;
- database providers; and
- communication service providers.
Your use of services provided by these third parties may also be subject to their own terms, privacy policies, and operational requirements.
Idyntic is not responsible for the content, policies, availability, or actions of independent third party services.
16. Service Availability
We strive to provide reliable and uninterrupted Services.
However, we do not guarantee that the Services will always be available or operate without interruption.
Temporary interruptions may occur due to:
- scheduled maintenance;
- emergency maintenance;
- software updates;
- infrastructure failures;
- third party service outages;
- telecommunications failures;
- internet disruptions;
- events beyond our reasonable control.
We reserve the right to suspend or modify any part of the Services where reasonably necessary to maintain security, comply with legal obligations, improve functionality, or protect users and the platform.
17. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by applicable law, Apexly Technologies Limited disclaims all warranties, representations, and guarantees, whether express, implied, or statutory, including but not limited to warranties of:
- merchantability;
- fitness for a particular purpose;
- non infringement;
- uninterrupted availability;
- accuracy of third party information; and
- freedom from errors or defects.
While we make reasonable efforts to provide reliable Services, we do not guarantee that:
- the Services will always be available;
- verification requests will always return results;
- third party systems will remain operational;
- generated documents will always be accepted by every organization or institution;
- the Services will be free from interruptions or delays.
Identity verification information is obtained from authorized third party providers. Accordingly, Idyntic cannot guarantee the completeness, accuracy, or continued availability of information supplied by those providers.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Apexly Technologies Limited, its directors, employees, officers, contractors, partners, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Services.
This includes, without limitation:
- loss of profits;
- loss of business opportunities;
- loss of revenue;
- loss of goodwill;
- loss of data;
- service interruptions;
- business interruption;
- third party system failures;
- reliance on verification results; or
- unauthorized use of your account resulting from your failure to safeguard your credentials.
Where liability cannot be excluded under applicable law, our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
19. Indemnification
You agree to indemnify, defend, and hold harmless Apexly Technologies Limited, its directors, officers, employees, contractors, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your use of the Services;
- your breach of these Terms;
- your violation of applicable laws or regulations;
- your misuse of identity information obtained through the Services;
- your infringement of the rights of another person or organization.
This obligation survives the termination of your account and these Terms.
20. Suspension and Termination
We reserve the right to suspend, restrict, or terminate your access to the Services, with or without prior notice, where we reasonably believe that:
- you have breached these Terms;
- your account has been used fraudulently or unlawfully;
- your activities present a security risk to the platform or other users;
- we are required to do so by law or a regulatory authority;
- continued access could expose Idyntic or its users to legal or operational risk.
Where reasonably practicable, we will inform you of the reasons for any suspension or termination.
Termination of your account does not relieve you of any outstanding obligations or liabilities that arose before termination.
21. Privacy
Your use of the Services is also governed by the Idyntic Privacy Policy, which explains how we collect, use, disclose, and protect your personal information.
By using the Services, you acknowledge that you have read and understood our Privacy Policy.
22. Changes to these Terms
We may revise these Terms from time to time to reflect:
- changes in applicable laws or regulations;
- new features or services;
- security improvements;
- operational requirements; or
- business developments.
Where changes materially affect your rights or obligations, we will provide reasonable notice through the website, your account, or another appropriate communication channel.
The updated Terms become effective on the date stated at the top of the document.
Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
23. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms or the Services shall first be addressed through good faith negotiations between the parties.
Where a dispute cannot be resolved amicably, it shall be submitted to a court of competent jurisdiction in Nigeria.
Nothing in this section prevents either party from seeking urgent interim or injunctive relief where permitted by law.
24. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining provisions.
The remaining provisions shall continue in full force and effect.
25. Entire Agreement
These Terms, together with our Privacy Policy and any additional policies or notices published by Idyntic, constitute the entire agreement between you and Apexly Technologies Limited regarding your use of the Services.
They supersede any prior agreements, understandings, or representations relating to the Services.
